Terms of Service

By accessing or using the services provided by Marketing With Agents ("MWA," "we," "us," or "our"), operated by Agentic Shield LLC, a Texas limited liability company, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

MWA provides AI-powered marketing automation and customer relationship management services, including campaign management, lead nurturing, communications automation, calendar and appointment management, and related professional services (collectively, the "Services"). The specific features available to you depend on your subscription tier.

You must be at least 18 years old and authorized to enter into binding contracts on behalf of yourself or the business you represent. By accepting these Terms, you represent and warrant that you meet these requirements.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

• Subscription fees are billed in advance on a monthly or annual basis, as selected at signup.
• Fees are processed through our third-party payment processor.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except as required by applicable law.

By providing your phone number or email address, you expressly consent to receive transactional and promotional communications from MWA, including via SMS, MMS, email, and automated voice calls, related to your account and Services.

• Message frequency: Varies based on your account activity and preferences.
• Carrier rates: Message and data rates may apply.
• Opt-out: Reply STOP to any SMS to unsubscribe. Email a request to ceo@agenticshieldllc.com to be removed from email lists.
• Help: Reply HELP to any SMS, or email ceo@agenticshieldllc.com for assistance.

Your consent is not a condition of any purchase. Consent and disclosure requirements under the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act apply.

MWA and its licensors retain all right, title, and interest in and to the Services, including all related intellectual property rights. You retain ownership of any content, data, contact records, or materials you provide to us ("Customer Content"). You grant MWA a non-exclusive, worldwide, royalty-free license to use, reproduce, store, and process Customer Content solely to provide the Services to you.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Send unsolicited commercial messages (spam) or engage in deceptive marketing practices.
• Resell, sublicense, or transfer access to the Services without our prior written consent.
• Reverse engineer, decompile, or attempt to extract source code from the Services.
• Use the Services to send messages to phone numbers or email addresses for which you have not obtained proper consent.
• Use the Services in connection with the purchase, sale, or trade of leads or contact information.

Violations may result in suspension or termination of your account without refund.

We may suspend or terminate your access to the Services at any time, with or without cause, with reasonable notice. You may terminate your account at any time. Upon termination:

• Your access to the Services will end at the conclusion of the current billing period.
• You may export your Customer Content within 30 days of termination.
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will remain in effect.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR ANY SPECIFIC RESULTS FROM USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MWA AND AGENTIC SHIELD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless MWA, Agentic Shield LLC, and their respective officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party rights or applicable laws.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where required by law, by email. Continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.
